Terms of Service

These Terms of Service govern your access to and use of Modishads, including its website, profiles, portfolios, messaging, collaborations, competitions, professional tools, advertising features, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and the Privacy Policy.

If you do not agree, do not use the Service. Additional rules may apply to specific features, promotions, competitions, paid services, or programs. If those additional rules conflict with these Terms for that feature, the additional rules control for that feature.

Modishads is intended only for adults age 18 and older. You may not create or maintain an account if you are under 18. We may request age or identity verification where reasonably necessary for safety, trust, eligibility, fraud prevention, competitions, payouts, or legal compliance.

You must provide accurate information and must not impersonate another person, agency, brand, or organization. You are responsible for keeping your login credentials secure and for activity conducted through your account.

Members may create professional profiles, list professions and experience, upload portfolio material, provide measurements or other professional information, and choose available privacy settings. You are responsible for keeping your information accurate and for having the rights and permissions needed to publish it.

Verification badges, identity checks, professional indicators, collaboration history, reputation signals, and similar features are trust tools, not guarantees. Modishads does not warrant a member's qualifications, conduct, identity beyond the scope of a completed verification process, financial ability, or suitability for any engagement.

You retain ownership of photos, videos, text, portfolio work, messages, profile information, and other content you submit to the Service ("User Content"). By submitting User Content, you grant Modishads a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise use that content as reasonably necessary to operate, secure, improve, and present the Service and the features you choose to use.

You represent that you own or control the necessary rights to your User Content, including any needed photographer, model, talent, location, music, trademark, or other permissions. Do not upload content that infringes another person's intellectual-property, privacy, publicity, or contractual rights.

Modishads helps creative professionals discover one another, communicate, request collaborations, showcase work, and identify opportunities. Unless a specific feature expressly states otherwise, Modishads is not the employer, staffing agency, talent agency, producer, payment guarantor, escrow provider, or contracting party for arrangements members make with each other.

Any agreement to hire, pay, reimburse, license, travel, meet, shoot, perform, deliver work, or conduct business outside the Service is between the participating parties. Members are responsible for evaluating opportunities, confirming terms in writing, handling taxes and permits, and taking reasonable personal-safety precautions.

Safety comes first. Do not pressure or encourage anyone to participate in dangerous, illegal, exploitative, coercive, or unsafe activity. Do not create content in locations or circumstances that create unreasonable risk, including unsafe ledges, restricted areas, hazardous traffic environments, or other situations where a shoot or production could cause injury.

Use appropriate judgment before meeting another member in person. Verification can reduce some risks but does not eliminate them. Members should independently verify important details, tell a trusted person where they are going when appropriate, use professional locations when possible, and leave any situation that feels unsafe.

Modishads is a professional creative network and is not an adult-content, pornography, or sexually explicit subscription platform. The Service may not be used to post, upload, display, request, offer, promote, sell, distribute, or direct users to pornography, sexually explicit material, sexual services, fetish content intended primarily for sexual arousal, or other adult-content material that Modishads determines is inconsistent with the professional purpose of the Service.

You may not place adult-content links in a profile, portfolio, biography, message, caption, comment, advertisement, job post, collaboration request, or any other part of the Service. This includes links or redirects to pornography sites, explicit-content subscription pages, adult-content storefronts, or other destinations primarily used to distribute or monetize sexually explicit material. Modishads may remove such content or links and may immediately suspend or terminate an account for violating this rule.

You may not use the Service to harass, threaten, stalk, exploit, defraud, impersonate, discriminate unlawfully, distribute malware, spam users, evade a suspension, scrape or access the Service without authorization, interfere with security controls, manipulate platform metrics, submit fraudulent verification materials, or violate applicable law.

You may not use synthetic or AI-generated content to deceive others about the identity of a real person or to misrepresent eligibility, authorship, professional work, or competition participation. Individual features or competitions may impose stricter authenticity requirements.

Private messaging and collaboration tools are provided for legitimate professional and community interaction. Do not send abusive, threatening, sexually coercive, sexually explicit, fraudulent, repetitive, or unwanted commercial messages, and do not use messaging to solicit or redirect members to prohibited adult content or sexual services. Modishads may restrict messaging or collaboration functionality to protect members or enforce platform rules.

Competitions, judging, voting, ratings, prizes, revenue-sharing features, sponsorships, or promotions may be governed by separate Official Rules or feature-specific terms. Those rules may include identity verification, professional-role verification, eligibility requirements, deadlines, content-authenticity requirements, judging procedures, tax obligations, and conditions for receiving a prize.

A displayed prize amount, revenue tracker, goal, estimate, or projected value is subject to the applicable competition rules and any stated adjustments, verification requirements, reversals, disqualifications, refunds, chargebacks, or payment-processing limitations.

If Modishads offers paid memberships, subscriptions, promoted placement, advertising, credits, or other paid services, the price and material purchase terms will be presented before purchase. Additional billing, cancellation, renewal, refund, or payout terms may apply to a specific product and will be disclosed with that product.

You are responsible for applicable taxes and for maintaining accurate billing information. Payment processing may be provided by third-party processors subject to their own terms and privacy practices.

The Service may display advertising, sponsored content, affiliate links, embedded services, or links to third-party websites. Third parties are responsible for their own products, services, claims, terms, and privacy practices. Modishads does not endorse a third party merely because its content, link, or advertisement appears on the Service.

Modishads may review reports, investigate suspected abuse, issue warnings, limit features, remove content, suspend accounts, revoke verification or program privileges, or terminate access when reasonably necessary to enforce these Terms, protect members, address fraud or security risks, comply with law, or protect the integrity of the Service. Certain serious violations, including prohibited adult or sexually explicit content or links, may result in immediate suspension or termination without a prior warning.

We may preserve records reasonably necessary for safety, fraud prevention, dispute resolution, legal obligations, and enforcement even after content or an account is removed, subject to the Privacy Policy and applicable law.

The Modishads name, branding, site design, software, interfaces, platform features, and other materials provided by Modishads are owned by or licensed to Modishads and are protected by applicable intellectual-property laws. These Terms do not grant you ownership of Modishads intellectual property.

If you believe content on the Service infringes your copyright or other legal rights, use the reporting or contact method made available through the Service and provide enough information for us to identify the content, understand your claim, and contact you if additional information is needed.

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, error-free operation, specific exposure, bookings, collaborations, employment, earnings, audience growth, verification approval, competition results, advertising revenue, or business outcomes.

Nothing on Modishads is legal, tax, employment, financial, insurance, safety, or other professional advice. Members should obtain appropriate professional advice for their own circumstances.

To the fullest extent permitted by law, Modishads and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, reputational harm, or losses arising from member-to-member dealings, third-party conduct, or unauthorized access beyond Modishads' reasonable control.

Where liability cannot legally be excluded, Modishads' aggregate liability arising out of the Service will be limited to the greater of the amount you paid directly to Modishads for the Service during the 12 months before the event giving rise to the claim or $100, except where applicable law requires a different result.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Modishads and its owners, officers, employees, contractors, and service providers from claims, damages, liabilities, costs, and reasonable legal fees arising from your User Content, your violation of these Terms or law, your infringement of another person's rights, or your independent business dealings with another member.

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles, except to the extent another law must apply. Any dispute that is not required by law to be heard elsewhere will be brought in an appropriate state or federal court located in Maryland. Nothing in these Terms waives rights that cannot lawfully be waived.

We may update the Service and these Terms as Modishads develops. If a change is material, we will provide notice in a manner appropriate to the change, such as through the Service, account notice, or an updated effective date. Continuing to use the Service after updated Terms take effect means you accept the revised Terms to the extent permitted by law.
